1. Definitions

In these Terms and Conditions, the following definitions apply:

• "Wellwick" means Wellwick, operating from 16/F, Silvercord Tower 2, 30 Canton Road, Tsim Sha Tsui, Hong Kong.
• "Service" means any consulting programme or advisory service provided by Wellwick.
• "Client" or "You" means the individual or organisation accessing this website or entering into an engagement with Wellwick.
• "Engagement" means a specific, scoped consulting programme agreed between Wellwick and the Client.
• "Agreement" means these Terms and Conditions, together with any engagement-specific scope document.
• "Content" means all text, images, reports, and other material available on this website.

2. Acceptance of Terms

By using this website or engaging Wellwick for services, you confirm that you have the legal capacity to enter into binding agreements and that you are acting on behalf of yourself or an authorised organisation. Use of this site by persons under 18 years of age is not permitted.

3. Service Description

Wellwick provides three structured business consulting programmes — Margin Enhancement, Talent Retention Consultation, and Business Continuity Testing — described on our Solutions page. Services are available to organisations based in or operating within Hong Kong. Engagements are subject to availability, scope agreement, and fee confirmation prior to commencement.

4. User Responsibilities

When using this website or engaging with Wellwick, you agree to:

• Provide accurate and complete information in enquiry forms and scope discussions
• Not use this website for any unlawful purpose or in a way that infringes third-party rights
• Not attempt to disrupt, compromise, or gain unauthorised access to this website's systems
• Not reproduce, distribute, or commercially exploit any content from this site without written permission

5. Intellectual Property

All content on this website, including text, design elements, and programme descriptions, is the property of Wellwick and protected under applicable copyright law in Hong Kong. You are granted a limited, non-exclusive licence to access and view this content for personal or professional evaluation purposes only.

Deliverables produced during a consulting engagement are licensed to the Client for internal use upon full payment of the engagement fee. Wellwick retains the right to use methodologies, frameworks, and anonymised insights for its own business purposes, subject to confidentiality obligations.

6. Payment Terms

Fees for consulting engagements are stated in Hong Kong Dollars (HKD) and confirmed in the scope document. Payment terms are agreed prior to commencement. Invoices are typically issued in two instalments: 50% upon scope agreement and 50% upon delivery. Wellwick reserves the right to withhold delivery of final outputs until outstanding fees are cleared.

Refunds are considered on a case-by-case basis where Wellwick has not commenced the relevant phase of work. No refund applies once final deliverables have been provided.

7. Consulting Services — Specific Terms

Each engagement is governed by a scope document signed by both parties. Scope documents take precedence over these general terms for matters specific to that engagement. Changes to scope require written agreement from both parties and may affect fees and timelines.

8. Disclaimers

Wellwick provides consulting services based on information made available during an engagement. Findings and recommendations represent professional judgement informed by that information and should not be treated as forecasts or binding commitments to specific outcomes.

This website is provided "as is" without warranties of any kind, including completeness, accuracy, or fitness for a particular purpose.

9. Limitation of Liability

To the extent permitted by Hong Kong law, Wellwick's total liability to the Client arising out of any engagement is limited to the fees paid for that specific engagement. Wellwick shall not be liable for indirect, consequential, or special damages, including loss of profit or business opportunity.

10. Indemnification

You agree to indemnify Wellwick against claims, losses, or expenses arising from your breach of these Terms or your use of this website in a manner that violates applicable law.

11. Confidentiality

Both parties to an engagement agree to maintain the confidentiality of information shared during that engagement. Mutual non-disclosure agreements are signed prior to commencement. Wellwick will not disclose client information to third parties except as required by law or with written consent.

12. Termination

Either party may terminate an engagement by written notice where the other party has materially breached the scope agreement and failed to remedy the breach within 10 business days of notification. In the event of termination, fees are payable for work completed up to the termination date.

13. Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to the Hong Kong International Arbitration Centre (HKIAC) for resolution under its administered arbitration rules.

14. General Provisions

• Entire Agreement: These Terms, together with any engagement scope document, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in force.
• Waiver: Failure to enforce any provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights or obligations without Wellwick's written consent.

15. Changes to These Terms

Wellwick may update these Terms from time to time. The current version will always be available at this URL with the date of last update. Continued use of this website after changes constitutes acceptance of the updated Terms.
